This agreement constitutes the official and public offer of the Seller to conclude a contract for the sale of Goods presented on the Online Store website (https://byaimee.co/uk-ua) with an unlimited number of persons. This agreement is public, which means that, in accordance with Article 633 of the Civil Code of Ukraine, its terms are identical for all individual buyers without granting any preference to any buyer over another.

 

1. DEFINITIONS

  1. Authorization – the procedure for a registered User and/or Buyer to log in to their Personal Account.
  2. Administrator – Sole Proprietor Emma Illivna Baskakova, established and operating in accordance with the current legislation of Ukraine, a single tax payer, responsible for organizing the sale of Goods through the Online Store and providing access to the Online Store to Sellers.
  3. Acceptance (Accept) – full acceptance and execution of the terms of this Agreement, carried out by the means specified herein.
  4. Manufacturer – a sole proprietor or legal entity that manufactures the Goods subsequently sold in the Online Store, according to an agreement with the Seller or Administrator.
  5. Order – actions of the Buyer regarding the selection, purchase, and delivery of the chosen Goods through the Online Store service, or a completed order for the purchase of Goods.
  6. Cart – the Online Store service that allows the Buyer to view selected Goods, make a purchase decision, and proceed to place an Order.
  7. User – an individual who browses the web pages of the Online Store, among other activities.
  8. Online Store – an e-commerce platform created in accordance with the Law of Ukraine “On Electronic Commerce” for selling Goods by concluding electronic contracts, accessible at https://byaimee.co/uk-ua.
  9. Payer – a legally capable individual who pays for the ordered Goods.
  10. Seller – Sole Proprietor Emma Illivna Baskakova, established and operating under the laws of Ukraine, or another legal entity/sole proprietor indicated in the shipping documents as the Seller of the Goods.
  11. Buyer – a legally capable individual who has accepted this Agreement and placed an Order for Goods.
  12. Personal Account – an Online Store service through which a User or Buyer, after authorization, gains access to additional features of the Online Store.
  13. Recipient – an individual who receives the ordered and paid Goods.
  14. Personal Data – information provided by the User and/or Buyer for registration in the Personal Account, placing Orders, posting reviews, etc.
  15. Public Offer (hereinafter – “Offer”) – a public proposal by the Seller addressed to an indefinite circle of persons to conclude a distance sales contract (hereinafter – “Agreement”) under the terms set out in this Offer.
  16. Distance sale of Goods – conclusion of an electronic contract based on the Buyer’s review of the description of the Goods and the public agreement (Offer) posted on the Online Store web page.
  17. Registration – procedure by which a User and/or Buyer on the Online Store web page obtains access to a Personal Account, including filling in personal data (name, surname, phone number, email, password creation).
  18. Goods – products listed in the Online Store for sale.

 

2. SUBJECT OF THE AGREEMENT

  1. The Seller undertakes, under the terms and conditions of this Agreement, to provide the Buyer with the Goods, and the Buyer undertakes to accept and pay for the Goods according to the terms of this Agreement.
  2. The Parties confirm that this Agreement is not fictitious or simulated, nor concluded under duress or fraud.
  3. The Administrator may act as the Seller under this Agreement or provide the Online Store to Sellers for the sale of Goods under contractual terms.
  4. The Manufacturer is fully responsible for the quality of the Goods.

 

3. PROCEDURE FOR CONCLUDING THE AGREEMENT

  1. This Public Agreement has legal force in accordance with Articles 633, 641, 642 of the Civil Code of Ukraine and is equivalent to an agreement signed by the Parties. Users and Buyers cannot propose their own terms to the Seller.
  2. The Agreement is concluded through the Buyer’s or User’s unconditional acceptance (Acceptance) without signing a paper copy. If the Buyer or User does not agree with the terms, placing an Order or Registration is not possible.
  3. The Agreement comes into effect upon Acceptance and remains valid until the Parties fulfill their obligations. Actions considered as Acceptance include:
    1. Placing an Order for Goods;
    2. Payment of the Order;
    3. Confirming agreement with the terms by marking the appropriate checkbox.
  4. By concluding this Agreement, the Buyer and User automatically confirm they have read and fully accept its terms.
  5. The place of conclusion of this Agreement is Kyiv, Ukraine.

 

4. ORDERING GOODS

  1. The Buyer places an Order as follows:
    1. Selects Goods in the Online Store, which are added to the Cart;
    2. Compares, chooses assortment and quantity of Goods via the Cart;
    3. Provides personal details (name, surname, email, contact number, shipping details) on the Order page;
    4. May specify a Recipient or Payer if different from the Buyer;
    5. Confirms the Order, thus agreeing with the Offer.
  2. The Buyer is fully responsible for the accuracy of the information provided, including details of the Recipient or Payer. By specifying another Recipient or Payer, the Buyer confirms full and unconditional authority to transfer the Goods or receive payment.
  3. Goods available for purchase are owned by the Seller, free of disputes or third-party claims.
  4. The Seller reserves the right to unilaterally change the price and/or quantity before delivery, notifying the Buyer by any available means (email, SMS, messenger, etc.).
  5. Photos and descriptions may slightly differ from the actual Goods. The Online Store does not guarantee absolute accuracy; the main characteristics are specified by the Seller. Buyers may request full information by contacting the Online Store.

 

5. PAYMENT AND DELIVERY

  1. Payment is made during the Order process or upon receipt:
    1. Non-cash;
    2. Via payment systems (PayPal, GPay, etc.) or online banking according to the system’s rules;
    3. All transaction fees are borne by the Buyer/Payer unless otherwise specified.
  2. During Order placement, the Buyer may leave delivery comments and choose delivery method and tariff.
  3. The Online Store provides tracking numbers, shipment date, and cost via SMS, email, or phone.
  4. Receipt of Goods is confirmed by signing the delivery note or similar document.

 

6. RETURNS AND WARRANTY

  1. Buyers may return or exchange quality Goods within 7 calendar days of receipt if they do not meet expectations, in accordance with Ukrainian consumer protection law.
  2. Certain items are non-returnable as specified by Ukrainian Cabinet Resolution №172 dated 19 March 1994.
  3. Returns/exchanges require written notification via post or email (social.aimeeco@gmail.com) and the Goods must be unused and undamaged with original packaging and proof of purchase.
  4. Refunds are made within 7 calendar days; non-cash payments are refunded to the original bank account.
  5. The procedure includes notification, reason for return/exchange, submission of documents, and sending Goods to the specified address.
  6. Payer receives refunds only if the Recipient returns the Goods.
  7. Exchange periods depend on availability; if unavailable, the Buyer may return the Goods.
  8. Exchanges for Recipients follow the same conditions; additional Payer consent is not required.
  9. Conditions for returning quality Goods: unused, intact, original packaging, documents present.
  10. Costs for returning quality Goods are borne by the Buyer.
  11. Returns/exchanges for defective Goods: verified as defective or with significant defects, or expired. Costs borne by Seller.
  12. The Seller/Manufacturer guarantees quality if used according to instructions and specifications.
  13. No warranty if used improperly or beyond storage/expiry.
  14. Delivery may involve carriers; risk transfers upon handover to carrier.
  15. Payments via payment systems: Seller is not responsible; the system guarantees transaction accuracy.

 

7. RIGHTS AND OBLIGATIONS OF THE PARTIES

 

User rights: browse pages, register, access Personal Account.

User obligations: comply with Agreement.

Buyer rights: purchase, receive, return/exchange Goods, register.

Buyer obligations: comply with Agreement, pay, accept Goods, follow usage instructions.

Seller rights: receive payment, refuse return/exchange, change prices, modify Agreement.

Seller obligations: provide Goods information, execute returns/exchanges, deliver Goods, protect buyer data.

Administrator rights: may refuse to respond to return/exchange if another Seller is listed in documents.

Recipient rights: accept or refuse Goods under Agreement.

Payer obligations: pay and return funds under Agreement.

 

8. INTELLECTUAL PROPERTY

  1. All IP rights for software, content, descriptions, design elements, graphics, and website components belong to the Administrator.
  2. Users/Buyers acknowledge Administrator’s IP ownership.

 

9. LIABILITY AND DISPUTE RESOLUTION

  1. Buyers/Users are fully responsible for comments; Administrator may remove them and use them for marketing.
  2. Parties are liable under Ukrainian law for breach of obligations.
  3. Seller not liable for manufacturer’s changes, improper use, third-party actions, or force majeure.
  4. Administrator not liable for seller information or product defects.
  5. Manufacturer responsible for product quality except when defects occur after transfer.
  6. If Recipient is legally incapable, Buyer bears risks.
  7. Disputes resolved through negotiation or, failing that, in court under Ukrainian law.

 

10. CONFIDENTIALITY AND DATA PROTECTION

  1. Confidential information includes personal data, comments, complaints.
  2. Administrator and Seller guarantee confidentiality, limited use, and security measures.
  3. Exceptions: publicly known, disclosed by party, or required by law.
  4. Acceptance implies consent to process personal data for sales, consumer protection, and marketing purposes.
  5. Registration or comment submission implies consent to process personal data.
  6. Providing phone/email implies consent to receive messages, including marketing.
  7. Users/Buyers may unsubscribe anytime.
  8. Administrator/Seller must comply with Ukrainian personal data law.
  9. Disclosure to third parties for contractual fulfillment or legal compliance is not a violation.

 

11. FORCE MAJEURE

  1. Parties are released from liability due to force majeure.
  2. Force majeure includes war, armed conflict, blockades, terrorism, natural disasters, epidemics, etc. Circumstances must meet official criteria per Ukrainian Chamber of Commerce regulations.
  3. Economic/financial crises, default, currency fluctuations, lack of resources are not force majeure.
  4. If force majeure lasts ≥6 months, parties may terminate obligations.
  5. During martial law, parties agree that it does not prevent performance if the execution location is not in active conflict or occupied areas.
  6. As of the date of this Agreement, Russian aggression is not considered force majeure preventing obligations.
  7. Parties acknowledge that circumstances may arise due to Russian aggression affecting obligations and must notify the other party and take measures to mitigate.
